These Terms of Use (“Terms”) govern your access to and use of feeswipe.co and any forms, questionnaires, calculators, content, or other features available through the website (collectively, the “Site”).

The Site is operated by Miova LLC, doing business as Miovapay (“FeeSwipe,” “we,” “us,” or “our”), a Texas limited liability company.

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

The Site is intended for businesses and business professionals who are at least 18 years old and legally able to enter into binding agreements.

1. About FeeSwipe

FeeSwipe helps businesses understand and reduce payment costs, including costs associated with card processing and currency conversion.

FeeSwipe is not a payment processor, acquirer, card network, bank, or financial institution, and we do not provide merchant accounts or process payments on your behalf.

Information available through the Site does not constitute legal, tax, accounting, investment, or other regulated professional advice.

2. Website Use Is Not a Client Engagement

Using the Site, completing a questionnaire, using the calculator, submitting information or documents, or communicating with us does not by itself create a consulting or other professional-services engagement between you and FeeSwipe.

A paid engagement begins only when FeeSwipe and the applicable client enter into a separate written agreement.

That agreement will govern the scope of services, fees, calculation and verification of savings, responsibilities of each party, confidentiality, termination and other terms relating to the engagement.

If these Terms conflict with a signed client agreement regarding services provided under that agreement, the client agreement will control.

Neither you nor FeeSwipe is obligated to proceed with an engagement because you submit information or because we identify a potential savings opportunity.

3. Calculator, Estimates and Website Information

Our Site may provide calculators, questionnaires, estimates, examples, educational materials, or preliminary observations about payment costs.

Any savings estimate or other result generated through the Site is illustrative only.

Actual payment costs and potential savings depend on factors that may include your payment provider, contractual terms, card and transaction mix, transaction size, payment channels, currencies, geographic mix, network fees, pricing changes, and other circumstances.

We do not guarantee that an estimate will be achievable or that any particular provider will offer or accept particular pricing or terms.

Although we make reasonable efforts to provide useful and accurate information, website content may contain errors, omissions, or information that becomes outdated.

You should not make material business decisions solely on the basis of a website calculator or general Site content.

4. Information and Documents You Submit

The Site may allow you to submit business information, processor statements, pricing information, contracts, reports, or other documents for review.

By submitting information to FeeSwipe, you:

• authorize us to receive, store, review, and analyze it for the purposes described when you submit it and in our Privacy Policy;

• represent that you are authorized to provide the information to us; and

• agree not to knowingly submit information that you are prohibited from disclosing.

FeeSwipe does not need full payment card numbers, CVV or security codes, online banking passwords, payment-provider passwords, Social Security numbers, Social Insurance Numbers, or similar authentication credentials.

Please do not submit this information. Where possible, remove or redact personal or sensitive information that is not relevant to our analysis.

Your submission of information does not transfer ownership of that information to FeeSwipe. You give us only the rights reasonably necessary to review, analyze, store, and otherwise use the information to provide the requested assessment or services and operate our business in accordance with our Privacy Policy.

5. Your Responsibilities

You are responsible for the accuracy and completeness of information you provide to us.

Our analysis and estimates may depend on information you provide. FeeSwipe is not responsible for inaccuracies in an estimate, analysis, or recommendation resulting from information that is incomplete, inaccurate, outdated, or misleading.

You remain responsible for your business decisions and for reviewing and approving any changes to your payment arrangements.

Unless expressly authorized under a separate client agreement, FeeSwipe cannot enter into agreements with a payment provider or otherwise legally bind you or your business.

6. Permitted Use of the Site

You may use the Site for lawful business purposes and to evaluate or use FeeSwipe's services.

You may not:

• use the Site in violation of applicable law;

• attempt to gain unauthorized access to the Site, its systems, or information belonging to others;

• interfere with the operation or security of the Site;

• introduce malicious code, viruses, or other harmful technology;

• use automated systems to scrape, copy, or extract substantial portions of the Site without our permission;

• impersonate another person or business;

• submit information you are not authorized to provide; or

• use FeeSwipe's name, content, analysis, or materials in a misleading manner.

We may restrict or terminate access to the Site where we reasonably believe these Terms have been violated or the Site is being misused.

7. Intellectual Property

The Site and its original content, design, branding, graphics, text, calculators, methodologies presented through the Site, and other materials are owned by or licensed to FeeSwipe and are protected by applicable intellectual-property laws.

You may view and use Site content for your own legitimate internal business purposes.

Unless we give you written permission, you may not reproduce, distribute, sell, publish, modify, commercially exploit, or create derivative works from substantial portions of the Site.

FeeSwipe and related names, logos, and branding may not be used in a manner suggesting sponsorship, affiliation, or endorsement without our permission.

Ownership and permitted use of reports, analyses, work product, or other materials created for a paying client may be addressed separately in the applicable client agreement.

8. Third-Party Services and Links

The Site may contain links to or integrations with third-party services, such as scheduling, communications, document, or other technology providers.

We do not control third-party services and are not responsible for their independent content, availability, terms, security, or privacy practices.

Your use of a third-party service may be subject to that provider's own terms and privacy policy.

References to payment processors, card networks, banks, software providers, or other companies do not imply that FeeSwipe is affiliated with or endorsed by them unless we expressly state otherwise.

9. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis.

FeeSwipe does not warrant that the Site will always be available, uninterrupted, secure, or error-free, or that all information available through the Site will always be complete, accurate, or current.

Nothing on the Site constitutes a guarantee of payment savings, provider pricing, financial results, or any other particular outcome.

These disclaimers do not exclude any warranty or right that cannot lawfully be excluded.

10. Limitation of Liability

To the fullest extent permitted by applicable law, FeeSwipe will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to your use of, or inability to use, the Site, including loss of profits, revenue, business opportunities, goodwill, or data.

To the fullest extent permitted by applicable law, FeeSwipe's aggregate liability arising solely from your use of the Site will not exceed US$100.

This limitation applies only to use of the Site. Liability relating to paid FeeSwipe services will be governed by the applicable client agreement.

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law, including liability that cannot validly be excluded or limited because of intentional misconduct, gross fault, or other mandatory legal requirements.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless FeeSwipe from third-party claims, losses, or reasonable costs arising from:

• your unlawful or unauthorized use of the Site;

• your material violation of these Terms; or

• information or documents you submit to us without having the legal right or authorization to do so.

This section does not require you to indemnify FeeSwipe for FeeSwipe's own conduct where such indemnification is prohibited by law.

12. Privacy

Our collection and handling of personal information through the Site is governed by our Privacy Policy, available at https://feeswipe.co/privacy-policy.

13. Governing Law

Except where applicable law requires otherwise, these Terms and disputes relating to the Site are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdictional rules that cannot legally be waived, legal proceedings relating to these Terms or the Site will be brought in the appropriate state or federal courts in Texas, and you consent to their jurisdiction.

Nothing in these Terms is intended to deprive a person of mandatory rights or protections provided by applicable law that cannot lawfully be waived by contract.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our business, or applicable law.

The “Last updated” date above identifies the most recent revision.

Changes apply prospectively when posted unless applicable law requires additional notice or consent.

Material changes to a separate client engagement will be governed by the applicable client agreement and will not be made merely by changing these website Terms.

15. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
